Henry Schein To Create Distribution Co. In $55M Merger

Law360, New York (November 30, 2009, 3:47 PM EST) -- Henry Schein Inc. will merge its animal health business with Butler Animal Health Supply, paying about $55 million for a majority stake in the new companion health animal distribution company.

The companies announced the merger in a joint statement Monday, saying Henry Schein will take a 50.1 percent stake in the new company, Butler Schein Animal Health.

As part of the recapitalization at closing, the new company will also take on about $300 million in debt, which will be reflected on Henry Schein's consolidated balance sheet....
