Vodafone Inks Deal For Full Control Of Kabel Deutschland

Law360, Washington (December 20, 2013, 2:48 PM ET) -- British telecom giant Vodafone Group PLC has agreed to a deal giving it full control of Germany's biggest cable company, Kabel Deutschland Holding AG, after previously taking a majority stake in the company, the groups announced Friday.

The deal combines a domination agreement, required under German law for Vodafone's German unit Vodafone Vierte Verwaltungs AG to issue binding instructions to Kabel Deutschland's management, and a profit and loss transfer agreement, combining Kabel Deutschland's financial results with those of Vodafone, the announcement said.
