DOJ To Probe Ticketmaster-Live Nation Merger

Law360, New York (February 11, 2009, 12:00 AM ET) -- The U.S. Department of Justice said Wednesday it would investigate the proposed merger between Ticketmaster Entertainment Inc. and concert promoter Live Nation Inc. to create a $2.5 billion entertainment behemoth, after criticism of the newly announced deal from several U.S. senators.

The companies plan to form Live Nation Entertainment in an all-stock merger of equals, through which Ticketmaster stockholders will receive 1.384 shares of Live Nation common stock for each Ticketmaster share, according to a Tuesday announcement.
