$4B Takeover Bid Casts Shadow On Cloud Co.'s Success: Suit

Law360, Wilmington (May 24, 2012, 6:56 PM ET) -- An Ariba Inc. shareholder launched a putative class action Thursday in Delaware court aimed at stopping the announced takeover of the cloud computing company by SAP AG, whose $4.3 billion bid the investor claims greatly undervalues a hot company in a hot industry.

Shareholder Howard Silverberg claims SAP's cash offer of $45 per share is inadequate in light of Ariba's healthy financial state and the per-share premiums received recently by stockholders of other cloud companies.
