Incumbent Providence Service Board Wins Proxy War

Law360, New York (June 18, 2009, 12:00 AM EDT) -- The current board of directors of Providence Service Corp. has won a landslide victory in a proxy battle brought on by a shareholder group seeking to increase stockholder representation on the board.

At the social services provider’s annual meeting of stockholders Monday, less than two percent of the shares held by nonaffiliates of the challenger stockholder group voted for the challenger group’s slate of nominees, said Keith Gottfried of Blank Rome LLP’s shareholder activist group, who represents Providence in the matter.
