Cravath Advises IBM In $480M Unica Acquisition

Law360, New York (August 13, 2010, 1:06 PM EDT) -- IBM Corp. announced Friday its plan to buy marketing software maker Unica Corp. for $480 million in cash, marking the latest move in the technology giant's pursuit of business software companies.

The transaction values stock in Waltham, Mass.-based Unica at $21 per share and is expected to close in the fourth quarter of 2010, the companies said.

The deal is still subject to approval by Unica shareholders and needs to be cleared by regulators. IBM said it would integrate Unica's 500 employees into its software solutions...
