Fried Frank Advises Cargill In $24B Mosaic Sell-Off

Law360, New York (January 19, 2011, 1:37 PM EST) -- Agribusiness giant Cargill Inc. plans to divest its $24 billion stake in Mosaic Co., a leading fertilizer producer, as part of an effort to maintain its private company status while diversifying the holdings of the Cargill family trusts.

Minneapolis, Minn.-based Cargill will distribute its 286 million shares, or 64 percent stake, in Mosaic to Cargill shareholders and debt holders through an exchange offer, the companies said Tuesday in a joint statement.
