King & Spalding Reps RockTenn In $3.5B Smurfit Deal

Law360, New York (January 24, 2011, 2:25 PM EST) -- Paper and packaging manufacturer RockTenn Co. is set to buy competitor Smurfit-Stone Container Corp. in a $3.5 billion deal that positions the combined company as a leader in the North American paperboard packaging market.

The transaction, announced on Sunday, comes seven months after Smurfit-Stone shook off much of its debt and emerged as a more attractive reorganized company following Chapter 11 bankruptcy proceedings.

The acquisition will triple RockTenn's annual sales to over $9 billion and increase production capacity from 2.4 million tons to 9.4 million tons,...
