Hughes Investor Sues To Block $2B EchoStar Deal

Law360, New York (February 28, 2011, 6:55 PM EST) -- A Hughes Communications Inc. shareholder filed a putative class action in Delaware on Monday seeking to block a proposed $2 billion acquisition of the broadband satellite company by EchoStar Satellite Services LLC, claiming the deal shortchanges investors.

Hughes directors breached their fiduciary duty to shareholders by agreeing to an inadequate premium and locking the deal in with onerous protections, according to a complaint lodged by a trust in the name of Nina J. Shah Rohrbasser in the Court of Chancery of the State of Delaware....
