Davis Polk Reps Smart Modular in $645M Buyout

Law360, New York (April 26, 2011, 3:00 PM EDT) -- California-based computer memory manufacturer Smart Modular Technologies Inc. announced Tuesday that it will be taken private by Silver Lake Partners in a deal valued at $645 million.

After fishing around for alternatives, Smart agreed to be bought out by Silver Lake Partners and Silver Lake Sumeru for $9.25 per share in cash, a price that represents a 23 percent premium over the recent average closing price, according to Smart’s press release.
