Express Scripts Can't Shake Suit Over $29B Merger

Law360, New York (September 21, 2011, 5:48 PM EDT) -- Express Scripts Inc. lost a bid Monday to toss a proposed shareholder class action seeking to derail its planned $29.1 billion merger with Medco Health Solutions Inc. that has been the subject of intense antitrust scrutiny since its announcement in July.

The suit, filed in New Jersey federal court by the Louisiana Municipal Police Employees Retirement System and other shareholder plaintiffs, claims Express Scripts' offer price is too low and that the proposed deal is laden with unreasonable terms, including a $950 million single-trigger termination fee....
