Skadden, Borden Rep Pan American In $1.5B Mine Co. Buy

Law360, New York (January 23, 2012, 1:56 PM ET) -- Vancouver, British Columbia-based silver mining company Pan American Silver Corp. will acquire Minefinders Corp. Ltd. for $1.48 billion, in a deal that will secure access to Minefinders’ Dolores gold and silver mine in northern Mexico for Pan American, the companies said Monday.

Pan American, which owns seven operating mines in Mexico, Peru, Argentina and Bolivia and the Navidad project in Argentina, said it will offer shareholders of Vancouver-headquartered Minefinders either 0.55 shares of Pan American and $1.81 in cash, 0.6235 shares of Pan American or $15.37...
