Fidelity National To Buy Out O'Charley's For $221M

Law360, New York (February 6, 2012, 2:43 PM EST) -- Looking to build on its other restaurant investments, title insurance and mortgage services company Fidelity National Financial Inc. is buying all outstanding shares of restaurant operator O'Charley's Inc. that it doesn't already hold in a $221 million deal, the companies said Monday.

Jacksonville, Fla.-based FNF, which holds 9.5 percent of O'Charley's outstanding common stock, will offer $9.85 per share to take control of the Nashville, Tenn.-headquartered company, which operates 342 restaurants under the O'Charley's, Ninety Nine Restaurant and Stoney River Legendary Steaks brands and generates more...
