Davis Reps ConAgra In $6.8B Ralcorp Deal After Long Pursuit

Law360, New York (November 27, 2012, 12:06 PM EST) -- ConAgra Foods Inc. will swallow up Ralcorp Holdings Inc. for $6.8 billion to create North America’s biggest private label packaged food company, the buyer said Tuesday, ending a protracted pursuit that began last year.

Ralcorp investors will receive $90 per share through the transaction, a 28.2 percent premium over Monday’s closing price. The cash consideration amounts to roughly $5 billion, with the remainder of the total purchase cost coming as assumed debt.
