US, Canada Approve $6.8B ConAgra, RalCorp Deal

Law360, New York (January 16, 2013, 7:08 PM EST) -- ConAgra Foods Inc. said Monday it had received approval from both Canadian and U.S. antitrust regulators for its $6.8 billion acquisition of Ralcorp Holdings Inc., despite recent competition concerns from an American antitrust think tank.

The packaged food giant said that the Canadian Competition Bureau had issued a “no-action letter” and that the waiting period under the U.S. Hart-Scott-Rodino Act had expired, meaning the U.S. Department of Justice and the Federal Trade Commission had declined to block the deal.
