Canada May Strengthen Poison Pills, But It's No Stiff-Arm

Law360, New York (July 8, 2013, 4:57 PM EDT) -- Call it the “just wait a minute” defense. It doesn't have quite the same ring as “just say no,” but changes are coming to Canada's hostile takeover scene that experts say should give target companies a fighting chance.

Comments are due next week on a Canadian Securities Administration proposal to let boards install poison pills and keep them for up to a year, with shareholder approval. Currently, regulators kill most pills within 60 days, which gives boards a narrow window to respond to hostile bids....
