ISS Blesses Dell's $24B Buyout As Vote Approaches

Law360, New York (July 8, 2013, 12:50 PM EDT) -- Proxy adviser ISS Inc. on Monday backed the $24.4 billion management buyout of Dell Inc., a somewhat surprising endorsement for a deal that has faced vocal opposition.

ISS, whose recommendations can make or break a deal, said $13.65 per share from Michael Dell and Silver Lake Partners, which are trying to take the computer giant private, trumped a possible but risky $14 from a plan cobbled together by Carl Icahn and Southeastern Asset Management Inc., two Dell shareholders who oppose the buyout.
