Viacom Asks Del. High Court For 'Rock Band' Fee Indemnity

Law360, New York (July 10, 2013, 8:21 PM EDT) -- Viacom International Inc. on Wednesday tried to persuade the Delaware Supreme Court that its defense costs over several intellectual property disputes ought to be covered by shareholders in Harmonix Music Systems Inc. — the “Rock Band” video game developer Viacom bought in 2006.

Viacom argued in the high court in Dover on Wednesday that the Harmonix shareholders' interpretation of the merger agreement was “nonsensical,” because it allowed the company to recoup legal fees from intellectual property lawsuits  only if it did not prevail in court....
