Icahn Unlikely To See MAC-Driven Dell Price Bump: Experts

Law360, New York (July 11, 2013, 8:40 PM EDT) -- Carl Icahn is hoping a wave of shareholder discontent at Dell Inc.'s $24 billion buyout price could spark a material adverse change under the merger agreement and force the company's buyers to sweeten the deal, but legal experts say it's a long shot. 

The billionaire investor suggested Wednesday that if enough Dell shareholders exercise their appraisal rights, as he is urging them to do, it could constitute a so-called MAC, tagging Dell with a possible multimillion-dollar liability that would spook lenders enough to reopen the terms....
