Vivus Delays Annual Meeting, Blasts Activist Investor

Law360, New York (July 15, 2013, 5:41 PM EDT) -- Vivus Inc. on Sunday postponed its buzzed-about annual meeting that is set to resolve a fiery fight for control between the drugmaker and its largest shareholder, apparently putting an end to negotiations aimed at reaching a settlement between the two.

In pushing the shareholder summit back three days to Thursday, Vivus, known for its obesity treatments, told investors that First Manhattan Co. made misleading comments in the thick of the proxy fight and asked the U.S. Securities and Exchange Commission to mandate “corrective actions.”
