Ex-Trados Directors Sue SDL For $3M In Legal Fees

Law360, Wilmington (July 30, 2013, 4:56 PM EDT) -- A group of former directors of software translation company Trados Inc. sued the firm's purchaser in the Delaware Court of Chancery on Tuesday, claiming new owner SDL International America Inc. owes them nearly $3 million in legal fees stemming from a pending shareholder class action over the transaction.

The former directors, two of whom are also former Trados officers, claim the company's certificate of incorporation requires it to advance their legal fees if the directors or officers are party to litigation because of their positions. But...
