Dell Won't Bend On Vote Count, But Offers New Record Date

Law360, New York (July 31, 2013, 10:35 AM EDT) -- Dell Inc.'s board on Wednesday refused a plea by bidders Michael Dell and Silver Lake to change how the buyout votes are counted, but offered to reset the record date, which may do as much to get the $24 billion deal past vocal opposition.

The company's special committee rejected a proposal to set aside absentee votes and only require a majority of ballots actually cast to approve the deal. Michael Dell and Silver Lake made the request last week in exchange for a 10-cent price bump...
