Wachtell, Arnall Golden Guide Sysco's $8.2B US Foods Buy

Law360, New York (December 9, 2013, 3:06 PM EST) -- Food distributor Sysco Corp. will take over private-equity backed rival US Foods in a deal valued at $8.2 billion, further broadening the product and services portfolio of the national distributor, according to a Monday statement.

Under the terms of the transaction, Sysco will hand over about $3 billion in Sysco common stock and $500 million in cash for US Foods’ equity. Sysco also will take on roughly $4.7 billion of US Foods’ current net debt, the companies said in a joint statement.
