Judge OKs Settlement In Suits Over SAP-Sybase Merger

Law360, New York (June 07, 2011, 12:09 PM ET) -- A California state judge gave preliminary approval Monday to a settlement in shareholder class actions claiming German software giant SAP AG's $5.8 billion acquisition of the U.S. software vendor Sybase Inc. shortchanged them.

The settlement, reached in principle months ago, requires SAP to disclose a wealth of information, among other things, about fees paid by the companies to Merrill Lynch Pierce Fenner & Smith Inc. for its analysis of the deal, information about Merrill Lynch's analysis work and more information about the negotiations leading up to...
