Packaging Co. Sues To Enforce $200M Merger's No-Hire Deal

Law360, Chicago (July 20, 2012, 9:36 PM ET) -- Food packaging maker Pactiv LLC sued HPC Industries LLC and its CEO in Illinois court Friday, alleging they breached a no-hire agreement accompanying Pactiv's $200 million purchase of their recycling business by allowing an HPC affiliate to hire that business' former plant manager.

Pactiv and PWP Industries Inc., Pactiv's co-plaintiff and subsidiary that was the target of the merger deal, allege that HPC, its CEO Leon Farahnik and HPC affiliate CarbonLite Industries LLC improperly hired former PWP plant manager Phillip Sanderson to work for CarbonLite, a...
