Law360, New York (July 28, 2010, 1:55 PM ET) -- Private equity firm Vestar Capital Partners V LP has reached a deal to acquire Health Grades Inc. in an all-cash tender offer valued at about $294 million.
In the agreement announced Wednesday, Vestar will acquire all outstanding shares of HealthGrades for $8.20 per share, representing a premium of about 29 percent over the closing price of HealthGrades’ common stock on the last trading today before the deal was announced and a 32 percent premium over the company’s 30-day average closing stock price.
