Law360, New York (October 28, 2010, 1:05 PM ET) -- Teva Pharmaceutical Industries Ltd. has reached an agreement to acquire Theramex, Merck KGaA's European women's health business, for €265 million ($369 million) cash in a bid to boost its own women's health franchise.
Under the terms of the transaction announced Thursday, Teva will pay €265 million to Merck KGaA's Merck Serono SA unit when the deal closes. In addition, Merck Serono will be eligible to receive performance-based milestone payments, the details of which were not disclosed.
