Fee-Shifting Ban Heads To Del. Capitol

Law360, New York (May 29, 2014, 2:43 PM ET) -- Attorneys and judges who steer Delaware's revered corporate law on Thursday approved a statutory change that virtually prohibits stock corporations from imposing fee-shifting provisions for shareholder litigation, sending the measure to the state Legislature just weeks after the state's high court said nonstock outfits could enforce such rules.

The amendment cleared a vote as anticipated, pushing it toward the state Capitol. Lawmakers are expected to decide on the change, proposed last week by the Delaware Corporation Law Council, before their current session ends June 30. If...
