US DOJ urges 'proper bond' in states' challenge to Paramount-Warner deal

Discovery transaction, arguing that "States and private parties must post a proper bond before a preliminary injunction may issue under Section 16 of the Clayton Act." In its statement, the DOJ said Congress adopted a "carefully calibrated antitrust enforcement scheme making the DOJ and [Federal Trade Commission] the primary enforcers against the background of several important constitutional limitations on State authority, including the Dormant Commerce Clause ... and bedrock federalism principles." The government added, "Through the bond requirement and other limitations on State and private party enforcement of the Sherman Act, courts have been able to avoid constitutional tensions that might otherwise be present."See attached statement....
