Reinsurance company Transatlantic Holdings Inc. on Thursday urged shareholders to reject Validus Holdings Ltd.'s $3.2 billion buyout offer and took steps to thwart a hostile takeover, including suing Validus in Delaware for allegedly misleading stockholders.
