Community Health Systems Inc. and its spinoff Quorum Health Corp. pushed a Tennessee federal court to grant them an early win in a suit accusing them of withholding financial expectations from investors, arguing that "there is not a whiff of evidence" to support the claims.

In a partial victory for both parties Friday, a Tennessee federal judge certified a class of Quorum Health Corp. investors in their suit accusing Quorum of withholding information about its spinoff from Community Health Systems Inc., but simultaneously trimmed several of their claims that Quorum and CHSI misled them.

Quorum Health Corp. urged a Tennessee federal judge not to grant class certification to shareholders alleging the common stock they purchased was being traded at an inflated price because Quorum had not disclosed expected impairments from its spinoff from Community Health Systems Inc., saying the spinoff did not impact its stock price and is unsupported by the "fraud-on-the-market" theory.
