Messy Health Care Merger To End Up In Court

Law360 (September 19, 2006, 12:00 AM EDT) -- Ventana Medical Systems' romance with Vision Systems Ltd. has decidedly soured, with the one-time suitor vowing to push ahead with a patent lawsuit against its former merger target.

On Monday, U.S.-based health care giant Ventana announced that it would not raise its $2.13 per share offer for Vision, even after being outbid by rival health care company Cytyc. Instead, it would allow the merger plans, which Vision had already accepted, to lapse.

Cytyc had offered to buy Vision for $2.34 a share, or around $375 million....
