FTC Fights To Block Thoratec, HeartWare Merger

Law360, New York (July 30, 2009, 6:50 PM EDT) -- The Federal Trade Commission is challenging Thoratec Corp.'s proposed $282 million takeover of rival medical device maker HeartWare International Inc., claiming the merger would substantially reduce competition in the U.S. market for certain life-saving heart devices.

The FTC announced Thursday it had authorized a lawsuit to block the acquisition bid by Pleasanton, Calif.-based Thoratec.

The regulator is accusing the company of seeking to maintain its monopoly by eliminating the “only significant threat” to its dominance of the left ventricular device, or LVAD, market.
