SkyTerra To Go Private In Harbinger Capital Deal

Law360, New York (September 23, 2009, 3:18 PM EDT) -- SkyTerra Communications Inc. plans to go private in a merger deal with a new unit of two funds run by investment firm Harbinger Capital Partners, which already owns almost half of SkyTerra's voting common stock, the mobile satellite communications provider said Wednesday.

Under the terms of the definitive merger agreement, the new company, which will be indirectly wholly owned by Harbinger Capital Partners Master Fund I Ltd. and Harbinger Capital Partners Special Situations Fund LP, will pay $5 in cash per outstanding share of SkyTerra common...
