Chaparral Energy To Go Public In $1.8B Deal

Law360, New York (October 13, 2009, 1:31 PM EDT) -- Private oil and gas producer Chaparral Energy Inc. has announced plans to go public in a $1.8 billion merger with United Refining Energy Corp., a special purpose acquisition company.

The companies announced a deal Monday under which Chaparral shareholders would exchange their entire equity stake in the company for shares in the combined company, which would bear the name Chaparral.

Under the proposed transaction, Chaparral shareholders would own 59 percent of the combined company, United Refining shareholders would own 35 percent and the United Refining sponsor...
