Simpson Steers Change Healthcare In $13.8B Sale To Optum

Law360 (January 6, 2021, 10:38 AM EST) -- An affiliate of UnitedHealth Group will absorb Simpson Thacher-advised Change Healthcare in a deal worth about $13.8 billion, the companies said Wednesday, marking yet another major merger in the rapidly consolidating health care industry.

The agreement sees Eden Prairie, Minnesota-based Optum buying Nashville, Tennessee-headquartered Change Healthcare, according to a statement. Change Healthcare will be integrated into OptumInsight to provide software and data analytics and revenue cycle management services to health care providers. The deal has an enterprise value of about $13.8 billion, including about $5 billion worth of debt, according to a source familiar with the deal.
