Holland & Knight Reps CGI Group In $900M Stanley Deal

Law360, New York (May 7, 2010, 1:40 PM EDT) -- CGI Group Inc. has agreed to pay about $900 million to acquire U.S. government technology provider Stanley Inc. in a cash tender offer aimed at boosting the Canadian information technology company's U.S. operations.

Under the agreement, CGI will pay $37.50 per share for Stanley, representing a premium of more than 23 percent over Stanley's 30-day volume weighted average stock price. The firms put the enterprise value of the deal at about $1.07 billion including assumed debt.
