FTC Backs $1.5B Agilent-Varian Deal With Divestitures

Law360, New York (May 17, 2010, 12:12 PM EDT) -- U.S. antitrust officials have put the final stamp of approval on scientific instrument maker Agilent Technologies Inc.'s $1.5 billion acquisition of rival Varian Inc., provided that the companies divest three product lines that the European Union also demanded they sell.

The Federal Trade Commission said Friday that while the deal would have reduced competition for three types of scientific measurement instruments because Agilent and Varian currently compete closely with one another in relatively small markets for those products, the companies agreed to sell assets in order...
