Sidley Advises GE Healthcare In $580M Clarient Deal

Law360, New York (October 22, 2010, 2:47 PM EDT) -- General Electric Co.’s health care unit on Friday announced plans to purchase cancer diagnostic company Clarient Inc. in a tender offer valued at $580 million.

GE Healthcare will pay $5 per common share and $20 per preferred share, payable in cash, to acquire Clarient, it said.

Clarient said its board of directors was recommending that the company’s stockholders tender their shares in the transaction. So far, 47 percent of stock in the company is committed to GE’s offer, according to the seller.
