Delaware Driving Force Behind 2010 M&A Rulings

Law360 (December 27, 2010, 4:40 PM EST) -- In a quiet year for major mergers and acquisitions decisions at a national level, courts in Delaware — where more than 60 percent of Fortune 500 companies are incorporated — picked up the slack, weighing in on a wide variety of cases that sought clarification on everything from poison pill usage to top-up provisions, attorneys say.
