Skadden Reps JA Solar In $180M Silver Age Buy

Law360, New York (July 1, 2011, 6:10 PM EDT) -- Solar cell maker JA Solar Holdings Ltd. on Friday agreed to purchase silicon-wafer maker Silver Age Holdings Ltd. in a deal valued at approximately $180 million and aimed at increasing the company's capacity for building a key solar panel component.

In an all-stock transaction, JA Solar will issue 30.9 million American Depositary Receipts valued at $5.825 per share to purchase Silver Age from its current owners. The ownership group includes Jinglong Group, which holds 70 percent of Silver Age and is controlled by JA Solar Chairman...
