US Gold, Minera Andes Make Strides Toward Merger

Law360, New York (September 2, 2011, 2:17 PM EDT) -- Precious metal miners US Gold Corp. and Minera Andes Inc. said on Friday that they had reached a tentative agreement to merge in an all-stock transaction.

The boards of both companies have agreed in principle to a stock exchange ratio of 0.4 US Gold common shares per Minera Andes common share, according to a filing with the U.S. Securities and Exchange Commission. US Gold explores for gold and silver in Mexico and Nevada, while Minera Andes mines for gold, silver and copper in Argentina.
