Roche Wins Ruling In Ventana Takeover Battle

Law360, New York (August 22, 2007, 12:00 AM EDT) -- A court has granted a motion by pharmaceutical company Roche Holding to ban medical equipment maker Ventana Medical Systems Inc. from invoking Arizona's anti-takeover statute to derail the health care giant's hostile $3 billion tender bid.

U.S. District Judge Mary Murguia granted the motion on Tuesday in the U.S. District Court for the District of Arizona, ruling that the state statute would likely be declared unconstitutional as applied to Roche – a Swiss-based corporation.
