UnitedHealth To Pay $4.9B For Leading Brazilian Insurer

Law360, New York (October 9, 2012, 2:02 PM EDT) -- UnitedHealth Group will pay $4.9 billion for a controlling stake in insurer Amil Participacoes SA, the Minnesota company said Monday, to spawn the largest health care company in the Americas and give it entry into a red-hot Brazilian market.

In the all-cash deal, UnitedHealth will swallow up 90 percent of Amil's common shares for $4.3 billion. Brazilian tax benefits will add another $600 million to the deal's value, UnitedHealth said.
