Diagostic Co. Vermillion Escapes Investor Suit

Law360, Wilmington (November 16, 2012, 9:45 PM EST) -- A Delaware state judge on Friday tossed a shareholder suit against directors of medical diagnostic company Vermillion Inc., ruling the plaintiffs had submitted documents that had been improperly notarized.

The suit, filed by shareholders Gyorgy Bessenyei and Robert S. Goggin III, claimed Vermillion's directors breached their duty by reducing the company's board from seven to six, but the judge ruled it had to be dismissed because court documents submitted by Bessenyei had been notarized even though he was not present.
