Getco, Knight Revise $1.4B Merger Terms To Appease NYSE

Law360, New York (April 15, 2013, 2:26 PM EDT) -- Private equity-backed market maker Getco LLC and Knight Capital Group Inc. on Monday adjusted the terms of their $1.4 billion merger to meet listing standards for the New York Stock Exchange that require the combined company's shares to be worth at least $4 at the start of trading.

Under an amended agreement filed with the U.S. Securities and Exchange Commission, the firms tweaked the ratio for swapping Knight shares and units of privately held Getco for stock in the combined operation.
