Thai Tycoon Lobs $6.6B Offer At Siam Makro

Law360, New York (April 23, 2013, 12:21 PM EDT) -- Thai magnate Dhanin Chearavanont lobbed a $6.6 billion buyout bid at cut-rate retailer Siam Makro PCL, marking the biggest proposed takeover in Asia so far this year and the second landmark purchase in recent months for Thailand's richest man.

Under the deal's terms, a unit of Dhanin's Charoen Pokphand Group Co. Ltd. will swallow up a 64.35 percent Siam Makro stake from SHV Nederland BV. Beyond that initial deal, the Thai conglomerate will make open a general tender offer for the remaining stock, pricing the shares...
