Broadridge Calls Off Controversial Proxy Vote Reforms

Law360, New York (February 10, 2014, 5:58 PM EST) -- A top provider of proxy vote-tallying services to U.S. firms abruptly reversed course just days after it unveiled controversial reforms that would have shielded comprehensive, real-time proxy vote results unless parties signed a confidentiality agreement, according to a Monday memo obtained by Law360.

Instead of proceeding with switches that would have upended the proxy-vote process as U.S. outfits have known it, Broadridge Financial Solutions Inc. said it would keep in place old protocols that allow all proxy contest participants complete access to vote results as ballots...
