Skadden-Led AFG Revives National Interstate Takeover Bid

Law360, New York (March 7, 2016, 6:28 PM EST) -- American Financial Group Inc., led by Skadden Arps Slate Meagher & Flom LLP, lobbed a $293 million takeover bid at National Interstate Corp. on Monday, formally rekindling a potential deal two years after an earlier buyout attempt fell apart amid allegations of conflicts of interest among board members.

Ohio-based American Financial Group Inc. offered to pay $30 per share in cash for each National Interstate Corp. share it does not already own through its subsidiary, Great American Insurance Co., according to a statement.

The offer price marks a 32.7 percent premium to the target's closing price on Friday, AFG said....
