The Takeover Panel's decision to place restrictions on a consortium's £1 billion ($1.3 billion) deal for Spire Healthcare shows that the authority's rules will put offerors in their place if their actions threaten to harm market integrity amid increasing take-private deals for listed companies, lawyers say.
The panel said Sept. 11 it had placed restrictions on a consortium including the investment manager Toscafund that is buying Spire Healthcare Group PLC, barring it from revising its offer or buying more shares in the company.
